Attorney Terms of Service
1. Platform Role Disclaimer
Critical Understanding Required
- • CaliCrash Connect, Inc. ("CCC") is NOT a law firm
- • CCC does NOT provide legal advice or representation
- • CCC is a technology platform providing marketplace access, communications infrastructure, and digital services
- • Attorneys using CCC are independent contractors, not employees or partners of CCC
2. No Guarantee Clause
CCC makes NO GUARANTEES regarding:
- Volume, quality, or availability of cases on the marketplace
- Success, outcome, or settlement value of any case
- Client satisfaction or retention
- Compatibility or fit between attorney and client
- Geographic coverage or exclusivity (unless explicitly purchased in Enterprise plan)
Case availability depends on consumer demand, competitive marketplace dynamics, and factors beyond CCC's control.
3. Fee Structure
Platform Access Fees Only
- • Subscription fees are for platform access and technology services only
- • NO fees are based on case outcomes or client settlements
- • NO fee-splitting arrangements exist between CCC and attorneys
- • NO referral fees or contingency payments to CCC
- • All fees are for software, infrastructure, communications services, and marketplace access
Subscription Plans
- Starter: $299/month
- Professional: $799/month
- Enterprise: $1,999/month
Add-On Services (Optional)
- Twilio Communications Services: $99-$499/month + usage-based fees
- Website & Digital Services: Custom pricing
Billing Terms
- Monthly auto-renewal unless cancelled
- Invoices sent via email
- Payment due upon invoice date
- Failed payments result in immediate suspension of marketplace access
- Cancellation effective at end of current billing cycle
4. Ethics Compliance
By using CCC, Attorney agrees to and acknowledges:
- Conflicts Checks: Attorney is solely responsible for conducting independent conflicts checks before accepting any case
- Client Engagement: Attorney must provide clients with engagement letters and fee agreements that comply with California State Bar requirements
- California Bar Rules: Attorney must comply with all California Rules of Professional Conduct, including but not limited to advertising, solicitation, and confidentiality rules
- Independent Representation: Attorney represents the client, not CCC. CCC has no involvement in the attorney-client relationship
- Professional Liability: Attorney maintains own professional liability insurance
5. Data Use & Confidentiality
Limited License
Upon case assignment, Attorney receives a limited, revocable license to access client data for the sole purpose of legal representation. Attorney agrees to:
- Use client data exclusively for representation purposes
- NOT resell, share, or distribute client data to third parties
- Maintain HIPAA-adjacent security standards for PHI and PII
- Delete or return all client data upon case conclusion or termination
- Notify CCC immediately of any data breach or unauthorized access
Audit Rights
CCC reserves the right to audit Attorney's data use and security practices. Attorney must cooperate with such audits and provide requested documentation.
6. Termination
Immediate Suspension Grounds
CCC may immediately suspend or terminate Attorney's access for:
- Ethics violations or California State Bar sanctions
- Data misuse, breach, or unauthorized sharing
- Non-payment of subscription fees for 7+ days
- Fraud, misrepresentation, or abuse of platform
- Client complaints indicating professional misconduct
- Violations of these Terms
Voluntary Cancellation
Attorney may cancel subscription at any time. Cancellation is effective at end of current billing cycle. No refunds for partial months.
7. Indemnification
Attorney agrees to indemnify, defend, and hold harmless CCC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Attorney's legal representation of clients
- Attorney's breach of these Terms
- Attorney's violation of laws or professional conduct rules
- Attorney's misuse of client data
- Claims by clients against CCC based on Attorney's conduct
8. Limitation of Liability
CCC'S TOTAL LIABILITY TO ATTORNEY SHALL NOT EXCEED THE AMOUNT OF SUBSCRIPTION FEES PAID BY ATTORNEY IN THE 12 MONTHS PRECEDING THE CLAIM.
CCC is not liable for:
- Lost profits, business, or opportunities
- Case outcomes or client satisfaction
- Technical issues, downtime, or data loss
- Third-party services (Twilio, payment processors, etc.)
- Actions or omissions of clients or other attorneys
9. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflicts of law principles.
Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.
Exception: CCC may seek injunctive relief in court for data breaches or intellectual property violations.
10. Amendments
CCC may modify these Terms at any time. Attorneys will be notified via email 30 days before changes take effect. Continued use of the platform after changes constitutes acceptance.
